The Role


We are currently seeking a talented In-House Legal Counsel to join our rapidly expanding London based team.


Reporting to the CFO, you will take full ownership of our legal function. You must harbour a desire and possess the skills to act as a key contributor to our exponential growth. This is a varied role, where you will be expected to be knowledgeable, authoritative and take the lead in all legal matters, whether that’s commercial negotiations, acquisitive and funding due diligence, International expansion or employment law.  All of these will help us continue our path to becoming a truly International and globally dominant organisation. You will be someone who can work collaboratively with all internal stakeholders, and maintain  strict legal disciplines whilst providing timely, succinct and informed legal advice.


Major Responsibilities


  • Negotiation and drafting of all commercial contracts.
  • Corporate legal matters including funding and legal due diligence for potential acquisitions.
  • Taking full legal ownership of our global expansion initiatives.
  • Managing relationships with external counsel.
  • Working with and reporting to the Risk Committee on all relevant legal matters, ensuring we mitigate our legal commercial exposure.
  • Supporting the Company in all corporate governance matters and ensuring global legal and secretarial compliance.
  • Administration of global share option schemes.


Key Attributes


Essential:

  • Qualified and legally permitted to practice law as a solicitor in England and Wales along with approximately 5 years of experience in the negotiation of technology contracts.
  • Experience of SaaS based licence contracts.
  • Fully conversant with Intellectual property and data protection requirements.
  • Able to make pragmatic decisions when faced with complex and ambiguous matters and exercise sound judgement when escalation is required.
  • Ability to communicate complex legal matters to Executives and colleagues in a clear and concise manner.
  • Demonstrable ability to work across functions on projects, including with Sales, Operations, R&D, and Finance.
  • Experience managing Company Secretarial needs across various regions.
  • Confident, self-motivated and enthusiastic, with little need for daily supervision.

  • Knowledge of the Specialty Insurance Market.
  • Understanding of Employment law.
  • Understanding of HMRC EMI Share Options schemes.
